Known to the community of developers in the northern region of Malaysia as an extremely efficient practitioner, she is noted for her efficiency in executing complex and time-sensitive conveyancing transactions.

Lee Fah has advised many developers and private clients in real estate transactions, from both a residential and commercial nature. She is also experienced in acting for banks in conveyancing transactions and her real estate expertise extends to commercial leases and residential tenancy agreements. Operating from the Penang office in Georgetown, Lee Fah also acts as the managing partner and business development director of the firm.

Brandon Chan

Up-and-coming finance lawyer and corporate specialist, Brandon Chan heads the firm’s Corporate and Commercial Practice Group. Trained in London as a solicitor, Brandon specialises in the niche area of aviation and aircraft financing. He has advised aircraft leasing companies and banks on the legal documentation and the lodgment of security interests relating to aircraft finance and leasing. Noted for his in-depth knowledge of aviation laws, both from a Malaysian and international perspective, Brandon is a key practitioner for both aircraft lessors and financiers.

Brandon is also experienced in the legal process of mergers and acquisitions as well as a range of commercial transactions. Pursuant to this, he is adept in navigating the legal intricacies in a deal and provide sound commercial advice to his clients across a spectrum of legal issues. Well-versed with English law, Brandon’s transactional expertise is invaluable to his clients who are seeking to execute a cross-border deal.

Brandon also heads the firm’s Antitrust and Competition Practice Group, having specialised in this area of law at the renowned Centre for Commercial Law Studies of Queen Mary in London. He constantly provides regulatory and contract-drafting advice to companies with respect to compliance with competition law.

  • Advised Borneo Jetliners on the commercial terms relating to the sourcing and procurement of 3 ATR 72-500 turboprops and Airbus A320-neo commercial jets for its start-up airline operations.
  • Advised a foreign bank on the legal issues relating to the factoring and assignment of receivables from a reputable aircraft engine manufacturer with respect to two airline companies.
  • Advised foreign aircraft leasing companies on the leasing of aircraft in Malaysia.
  • Advised aircraft lessors on the creation of mortgage over aircraft and the perfection of security interest over aircraft objects under the Capetown Convention.
  • Advised a private seller on the sale and purchase of a business jet and the transfer of title to the aircraft.
  • Assisted in the preparation and review of operating leases and aircraft sale and lease novation documentation in relation to a refinancing exercise of two Airbus A330-300 aircraft.
  • Provided aviation regulatory advice to Chinese companies in relation to its aircraft leasing operations in Labuan.

  • Drafted a legal opinion on the application of European Union merger control regulations with respect to an acquisition of a Malaysian timber producer by an international conglomerate.
  • Advised a German automotive company on maximum resale price maintenance clauses in the context of abuse of dominance and formulate best practices to manage competition risk and compliance.
  • Advised a German automotive company on the supply of certain commercially sensitive information to a trade association relating to sales turnover and capacities of its commercial and passenger vehicles.
  • Advised hypermarkets on the legality of pricing policies relating to rebates, preferred dealership clauses, promotional prices, package offers and discounts.
  • Advised an oil company on the legality of price discrimination schemes in the supply of gas contracts.
  • Advised a cosmetic company on the legality of resale price maintenance clauses with respect to dealership contracts and salons.

  • Carried out a banking due diligence on a government financial institution in relation to a proposed upsizing of its medium term notes programme.
  • Advised foreign funds on the provisions of the various Securities Commission Guidelines relating to proposed issuances and marketing of foreign-issued private debt securities and equity offerings in the Malaysian capital markets.
  • Advised a foreign bank on the enforceability of legal obligations of a Labuan-based oil company with respect to a term loan facility which are reinforced by two currency swap agreements that are governed by the 2002 ISDA Master Agreement.
